âand€others€assert€that€the€prohibition€in€the€Federal€ElectionÏCampaign€Act€on€the€use€of€corporate€money€"in€connection€with"Ïfederal€elections€invalidates€certain€€Federal€Election€CommissionÏregulations€governing€the€funding€of€presidential€debates.€€ThoseÏregulations€permit€corporations€to€make€contributions€from€theirÏgeneral€treasuries€to€qualified€nonprofit,€nonpartisanÏorganizations€staging€federal€candidate€debates.€€Suit€was€broughtÏin€anticipation€of€the€debates€to€be€staged€by€the€Commission€onÏPresidential€Debates€(Ô_ÔCPDÔ_Ô)€before€the€November€2000€PresidentialÏElection.€€The€district€court€dismissed€Naderððs€claims€on€theÏmerits€and€entered€judgment€on€September€14,€2000.€€Nader€appealedÏand€this€court€granted€expedited€review.€€We€hold,€contrary€to€theÏFEC,€€that€we€have€Article€III€jurisdiction€and,€contrary€to€Nader,Ïthat€the€plaintiffsðð€facial€challenge€to€the€debate€regulationsÏfails.Ìà@tt)ìàò Ðcontributions€are€not€available€to€him.€€Consequently,€Nader€hasÏbeen€put€at€a€competitive€disadvantage€in€the€presidential€race,Ïand€as€a€result€he€has€had€to€alter€his€campaign€strategy€and€spendÏmore€on€advertising€in€order€to€compensate€for€this€disadvantage.€Ïà ` àThe€FEC's€central€counterargument€is€that€the€injuriesÏNader€alleges€are€not€fairly€traceable€to€the€FEC€regulationsÌhe€challenges.€€Nader's€standing€theory€is€misplaced,€the€FECÏcontends:€while€it€might€be€true€that€Nader's€exclusion€from€theÏdebates€puts€him€at€a€competitive€disadvantage,€Nader€is€notÏchallenging€his€exclusion€from€the€debates.€€As€plaintiffs€state€inÏtheir€brief:€"This€is€a€lawsuit€about€the€òòfundingóó€of€presidentialÐ P  Ðdebates,€not€a€challenge€to€the€rules€governing€òòparticipationóó€inÐ à0 Ðdebates."€€Moreover,€Nader€concedes€that,€even€if€FEC€regulationsÏdid€not€allow€corporate€sponsorship€of€the€debates,€the€debatesÏwould€likely€be€held€anyway,€with€funding€coming€from€publicÏsources€or€the€media;€and€Nader€makes€no€claim€that€in€such€eventÏhe€would€have€a€better€chance€of€being€invited€to€participate.€ÏThus€Nader€has€failed€to€show,€the€FEC€concludes,€that€there€is€aÏcausal€nexus€between€corporate€sponsorship€of€the€debates€and€theÏinjuries€he€alleges€as€his€basis€for€standing.Ìà ` àIn€reply,€Nader€argues€that€there€is€such€a€causal€nexus.€ÏAt€the€time€that€he€brought€this€suit,€Nader€still€stood€a€chanceÏof€being€invited€to€participate€in€the€debates.€€Yet€if€he€wereÏinvited,€he€says,€he€would€be€forced€to€decline€the€invitation€dueÏto€his€principled€stand€against€accepting€corporate€contributions.€ÏThe€consequences€of€this€Faustian€dilemma,€he€argues,€suffice€forÐ pÀ Ðattached€certain€benefits€to€the€acceptance€of€public€funding,€suchÏas€free€air€time€on€community€television€and€higher€caps€onÏcampaign€contributions.€€òòSeeóó€òòid.óó€at€29„30.€€Leonard€chose€toÐ  p Ðdecline€public€funding€and€thereby€to€forego€the€accompanyingÏbenefits.€€As€a€result,€this€court€held,€she€had€standing.€€GivenÏLeonard's€choice€not€to€accept€public€funding,€the€law€put€her€atÏa€potential€disadvantage€as€to€any€publicly€funded€opponents€sheÏmight€face,€forcing€her€to€structure€her€campaign€to€anticipate€andÏoffset€that€disadvantage.€€òòSeeóó€òòid.óó€at€36„37.€€"In€our€view,"€weÐ €%Ð * Ðheld,€"such€an€impact€on€the€strategy€and€conduct€of€an€office„¼seeker's€political€campaign€constitutes€an€injury€of€a€kindÏâ âsufficient€to€confer€standing."€€òòId.óó€at€37.€òòóó€Ð 0*€%0 Ðà ` àNader€argues,€and€the€district€court€agreed,€that€hisÏâ âcase€is€analogous:€given€Nader's€choice€not€to€accept€corporateÏcontributions,€the€FEC's€regulations€allowing€corporate€sponsorshipÏof€the€debates€effectively€bar€him€from€participating€even€if€heÏqualifies€for€an€invitation.€€He€is€thus€put€at€a€potentialÏdisadvantage€in€the€event€that€he€is€invited€and€forced€by€hisÏprinciples€to€decline€the€invitation;€and€he€suffers€a€consequentÏpresent€harm,€in€that€he€has€been€forced€to€structure€his€campaignÏto€offset€this€potential€disadvantage€„„€e.g.,€by€spending€more€onÏadvertising€than€he€would€if€there€remained€a€chance€that€he€couldÏappear€in€the€debates.Ìà ` àWhile€the€question€is€close,€we€find€that€Nader€does€haveÏstanding€under€òòVote€Choiceóó.€€Nader€has€been€and€continues€to€be€aÐ pÀ Ðsignificant€candidate€in€the€2000€presidential€race.€€At€the€timeÏhe€brought€this€suit,׃@×Ý ƒ#ÃÝòòÚ  Ú3Ú  ÚóóÝ  Ý×  ×€it€was€a€genuinely€open€question€whether€heÐ à Ðwould€be€invited€to€the€debates:€Nader€brought€suit€in€June€2000;Ïthe€CPD's€first€determination€of€which€candidates€would€be€invitedÏto€the€debates€was€scheduled€for€Labor€Day;€within€that€time,€itÏwas€certainly€possible€that€Nader€would€be€able€to€meet€the€CPD'sÏeligibility€threshold€of€a€fifteen„percent€showing€of€support€inÏthe€national€polls.€€òòóóNader€thus€reasonably€claims€that,€at€the€timeÐ € Ð  Ðhe€brought€suit,€corporate€sponsorship€of€the€debates€loomed€as€aÏpotential€stumbling€block€in€the€path€of€his€campaign,€which€forcedÏhim€to€make€significant€adjustments€to€his€campaign€strategy€andÏuse€of€funds.׃B ×Ý ƒ#ÃÝòòÚ  Ú4Ú  ÚóóÝ  Ý×  ×òòóó€€"[W]e€see€nothing€'improbable'€about€theÐ À Ð___,€120€S.Ct.€693,€706€(2000)€(finding€standing€to€turn€on€theÏreasonableness€of€plaintiffs'€fear€that€defendant's€conduct€wouldÏinterfere€with€their€activity).€€We€similarly€granted€credence€inÐ € Ð  ÐòòVote€Choiceóó€to€plaintiff€Leonard's€claim€that€she€had€to€adjust€herÐ `  Ðcampaign€to€account€for€the€possibility€of€facing€a€publicly€fundedÏopponent,€even€though€in€the€end€that€possibility€did€notÏmaterialize.€€òòVote€Choiceóó,€4€F.3d€at€37;€òòsee€alsoóó€òòVote€Choice,€Inc.óóÐ À Ðv.€òòDiStefanoóó,€814€F.€Supp€195,€204€(D.R.I.€1993).€€To€probe€anyÐ P  Ðfurther€into€these€situations€would€require€the€clairvoyance€ofÏcampaign€consultants€or€political€pundits€„„€guises€that€members€ofÏthe€apolitical€branch€should€be€especially€hesitant€to€assume.Ìà ` àThe€FEC€attempts€to€distinguish€òòVote€Choiceóó€from€thisÐ à Ðcase€on€the€grounds€that€the€plaintiff€in€òòVote€Choiceóó€was€directlyÐ  p Ðsubject€to€the€law€she€challenged:€the€law€specifically€requiredÏall€candidates€to€choose€whether€to€accept€public€funding.€€ByÏcontrast,€the€FEC€regulations€in€question€here€regulate€notÏcandidates,€but€rather€debate€staging€organizations,€such€as€theÏCPD,€and€their€corporate€donors.€€Thus,€the€FEC€argues,€theÏregulations€could€not€possibly€have€put€Nader€to€a€"coercedÏchoice,"€as€was€at€issue€in€òòVote€Choiceóó,€òòseeóó€òòóó4€F.3d€at€37,€simplyÐ ƒ#ÃÝòòÚ  Ú5Ú  ÚóóÝ  Ý×  ×€€Moreover,€this€is€not€a€case€like€òòLujanóó€v.€òòDefendersÐ P Ðof€Wildlifeóó,€504€U.S.€555€(1992),€where€the€agency€is€alleged€toÐ à Ðhave€unlawfully€regulated€a€third€party,€and€the€plaintiff'sÏstanding€depends€on€an€unpredictable€question€of€whether€the€thirdÏparty€will€use€its€discretion€under€the€regulation€so€as€to€harmÏthe€plaintiff.€€òòSeeóó€òòid.óó€at€562.€€In€this€case,€whether€the€CPD€willÐ ` ° Ðchoose€to€accept€corporate€funds€to€help€stage€the€2000Ïpresidential€debates€is€not€unpredictable;€the€CPD€had€alreadyÏchosen€to€do€so€by€the€time€Nader€brought€suit.׃×Ý ƒ#ÃÝòòÚ  Ú6Ú  ÚóóÝ  Ý×  ×Ð `  Ðà ` àIn€addition,€the€FEC's€analysis€of€òòVote€Choiceóó,€as€theÐ  ð  ÐFEC€itself€suggested€at€oral€argument,€leads€to€the€result€that€noÏcandidate€could€ever€challenge€the€FEC€regulations€in€questionÏhere,€regardless€of€how€likely€he€or€she€was€to€be€invited€toÏdebate.€€If€the€FEC€is€right€that€only€those€directly€governed€byÏthe€regulations€can€challenge€them,€then€only€debate€stagingÏorganizations€such€as€the€CPD€or€their€corporate€donors€could€everÏbring€challenge.€€But€these€parties€are€beneficiaries€of€theÏregulations,€and€the€regulations€are€permissive€with€respect€toÏthem.€€Hence,€these€parties€are€unlikely€ever€to€have€any€incentiveÏ„„€or,€likewise,€standing€„„€to€seek€to€invalidate€the€regulationsÏinsofar€as€they€permit€corporate€sponsorship€of€the€debates.׃Yx×Ý Ðperceives€a€dilemma,€not€because€it€appears€anywhere€in€theÏregulations."€€Such€a€view€would€raise€too€high€a€bar€for€standing;Ïclearly,€one€who€challenges€a€governmental€action€may€not€be€deniedÏstanding€merely€because€his€challenge€in€a€sense€stems€from€his€ownÏchoosing.€€For€example,€if€instead€of€involving€corporateÏsponsorship,€this€case€instead€involved€regulations€allowing€theÏCPD€to€impose€speech€restrictions€on€debate€participants€„„€e.g.,Ïa€requirement€that€the€participants€say€a€word€of€gratitude€to€theÏCPD's€underwriters€„„€there€would€hardly€be€question€that€theÏdebate€participants€would€have€standing€to€challenge€suchÏregulations,€even€though€their€objection€might€stem€purely€from€aÏchoice€of€conscience.€€òòCf.,€e.g.óó,€òòRustóó€v.€òòSullivanóó,€500€U.S.€173€Ð àIn€sum,€the€FEC€regulations€Nader€challenges€have€causedÏhim€sufficient€injury€for€the€purposes€of€standing.€€By€allowingÏcorporate€sponsorship€of€the€debates,€the€regulations€threatened€toÏforce€Nader€to€decline€an€invitation€to€participate€in€the€debates,Ïand€that€threat€affected€the€conduct€of€his€campaign.€€In€light€ofÏthe€FECA's€concern€with€ensuring€that€corporate€funds€do€notÏundermine€the€fairness€of€federal€elections,€we€find€that€Nader€hasÏclaimed€sufficient€unfairness€to€his€campaign€to€establishÏstanding.€€"To€hold€otherwise€would€tend€to€diminish€the€import€ofÏdepriving€a€serious€candidate€for€public€office€of€the€opportunityÏto€compete€equally€for€votes€in€an€election,"€and€would€make€it€tooÏdifficult€for€candidates€in€Nader's€position€to€challenge€FECÏregulations€thought€to€impinge€on€that€opportunity.€òòóó€òòSeeóó€òòFulanióó€v.Ð Ðconducting€candidate€debates€where€those€debates€are€held€byÏnonpartisan€organizations€so€long€as€those€organizations€and€theÏstructure€of€the€debate€meet€certain€criteria.€€Two€interrelatedÏregulations€produce€this€result.€€First,€Section€110.13€delineatesÏthe€requirements€for€debate€staging€organizations,€debateÏstructure,€and€criteria€for€candidate€selection€necessary€toÏqualify€for€exemption€from€the€contribution€and€expenditureÏrestrictions.€€Debate€staging€organizations€must€either€beÏnonprofit€organizations€that€"do€not€endorse,€support,€or€opposeÏpolitical€candidates€or€political€parties,"€or€broadcasters€thatÏare€"not€owned€or€controlled€by€a€political€party,€politicalÏcommittee€or€candidate."€€11€C.F.R.€ðð€110.13(a).€€The€candidateÏdebate€must€include€at€least€two€candidates€and€not€be€structuredÏ"to€promote€or€advance€one€candidate€over€another."€€11€C.F.R.€ððÏ110.13(b).€€Finally,€debate€staging€organizations€are€required€toÏuse€"pre„established€objective€criteria€to€determine€whichÏcandidates€may€participate€in€the€debate"€and€may€not€rely€solelyÏon€nomination€by€particular€parties.€€11€C.F.R.€ðð€110.13(c).€ÏSecond,€Section€114.4(f)€allows€nonprofit€debate€stagingÏorganizations€to€accept€funds€donated€by€corporations€to€defrayÏcosts€incurred€in€staging€candidate€debates€and,€on€the€flipside,Ïexpressly€permits€corporations€to€make€such€donations€to€qualifedÏdebate€staging€organizations.€€11€C.F.R.€ðð€114.4(f).€€ComplementingÏthese€sections,€the€FEC€regulations€defining€the€termsÏ"contribution"€and€"expenditure"€as€covered€by€the€Act€expresslyÏexempt€the€funds€used€in€staging€a€qualified€candidate€debate€fromÐ À+'2 Ðthe€"contributions"€and€"expenditures"€regulated€by€the€FECA.€€òòSeeóóÐ ° Ð11€C.F.R.€ðð€100.7(b)(21)€(not€included€in€"contributions");€òòid.óó€ððÐ @ Ð100.8(b)(23)€(not€included€in€"expenditures").€€In€accordance€withÏthe€requirements€of€the€FECA,€2€U.S.C.€ðð€438(d),€the€proposedÏregulations,€along€with€the€FEC's€analysis,€were€sent€to€CongressÏand€did€not€become€final€until€Congress€had€opportunity€to€expressÏdisapproval.׃A×Ý ƒ#ÃÝòòÚ  Ú12Ú  ÚóóÝ  Ý×  ×Ð `  Ðà ` àNader€argues€that€these€debate€regulations€permitÏcorporate€contributions€to€flow€to€candidates€in€violation€of€theÏgeneral€prohibition€of€Section€441b(a)€and€that€such€contributionsÏdo€not€fall€within€the€limited€exceptions€of€Section€441b(b)(2)(A)„¼(C);€further,€he€rejects€the€FEC's€contention€that€the€regulationsÏpermissibly€construe€ambiguities€in€what€corporate€disbursementsÏqualify€as€"contributions€and€expenditures"€under€the€Act.€€NaderÏargues€the€FECððs€position€must€be€rejected€€for€several€reasons.€ÏFirst,€Nader€contends€that€the€general€prohibition€againstÏcorporate€contributions€and€expenditures€in€Section€441b(a)€standsÏalone€and€is€not€at€all€ambiguous.€€This€prohibition,€he€says,Ïreflects€a€clear€congressional€intent€that€corporate€monies€not€goÏtoward€political€activities€unless€they€fall€into€one€of€the€threeÏnarrowly€drawn€exceptions€in€Section€441b(b),€none€of€which€isÏapplicable€to€candidate€debates.€€Hence€this€provision€reveals€anÏunambiguous€congressional€intent€that€corporate€monies€not€be€usedÏto€sponsor€candidate€debates.€€Ð  (ð#. Ðà ` àSecond,€Nader€argues€that€when€Congress€enacted€the€moreÏspecific€rules€contained€in€Section€441b€governing€the€use€ofÏgeneral€treasury€corporate€funds€in€1976,€it€narrowed€the€exemptionÏfrom€the€prohibition€on€corporate€contributions€so€as€to€permitÏonly€those€"nonpartisan€registration€and€get„out„the„voteÏcampaigns"€that€are€aimed€at€the€corporations'€own€"shareholdersÏand€executive€or€administrative€personnel€and€their€families."€€2ÏU.S.C.€ðð€441b(b)(2).€€While€Nader€acknowledges€that€SectionÏ431(9)(B)(ii)€contains€a€more€general€exception€permitting€fundingÏfor€"nonpartisan€activity€designed€to€encourage€individuals€to€voteÏor€to€register€to€vote,"€that€"permission"€comes€in€the€form€of€anÏexemption€to€the€FECA's€general€definition€of€"expenditure."€€NaderÏmaintains€that€the€enactment€of€a€specific€provision€dealing€withÏcorporate€contributions€and€expenditures€and€defining€those€termsÏfor€that€purpose€renders€the€general€definition€inapposite,€citingÏthe€principle€that€a€specific€statute€governs€over€a€more€generalÏone.€€òòSeeóó€òòHCSC„Laundryóó€v.€òòUnited€Statesóó,€450€U.S.€1,€6€(1981).€€Ð °  Ðà ` àThe€specific€exception€in€Section€441b(b)(2)€forÏ"nonpartisan€registration€and€get„out„the„vote€campaigns€by€aÏcorporation€aimed€at€its€stockholders€and€executive€andÏadministrative€personnel€and€their€families,"€Nader€argues,€Ïclearly€does€not€exempt€funding€of€candidate€debates.€€Moreover,Ïeven€if€read€in€tandem€with€the€general€exemption€excludingÏexpenditures€for€"nonpartisan€activity€designed€to€encourageÏindividuals€to€vote€or€to€register€to€vote"€in€SectionÏ431(9)(B)(ii),€Nader€maintains€that€the€statute€still€contains€noÐ À+'2 Ðambiguity€regarding€the€legality€of€expenditures€for€candidateÏdebates€because€a€debate€cannot€reasonably€be€described€as€such€anÏactivity.׃C×Ý ƒ#ÃÝòòÚ  Ú13Ú  ÚóóÝ  Ý×  ×€€Since€sponsoring€candidate€debates€does€not€fall€intoÐ Ð  Ðthese€exceptions€to€the€prohibition€of€Section€441b(a),€he€contendsÏthat€the€clear€intent€of€Congress€as€expressed€in€that€prohibitionÏmust€govern.€€Thus,€Nader€argues,€there€is€no€ambiguity€in€theÏstatute€that€would€permit€the€FEC,€under€the€òòChevronóó€doctrine,€toÐ `  Ðmake€policy€interstitially.€€While€disavowing€any€need€to€look€atÏlegislative€history€to€clarify€what€Congress€meant,€Nader€says€thatÏnothing€in€that€history€supports€the€FEC's€reading.€€And€so,€NaderÏconcludes,€there€is€no€gap€in€the€statute€on€the€precise€questionÏof€whether€corporate€funds€can€be€used€to€finance€electoralÏâ âdebates.׃Fð ×Ý ƒ#ÃÝòòÚ  Ú14Ú  ÚóóÝ  Ý×  ׀РpÀ Ðà ` àIn€the€alternative,€Nader€argues€that€even€under€theÏâ âsecond€stage€of€òòChevronóó€these€regulations€should€fail.€€NaderÐ @ Ðmaintains€that€the€regulations€cannot€be€a€permissible€constructionÏof€the€statute€because€they€are€inconsistent€with€the€purposes€ofÏthe€Act.€€Nader€alleges€that€the€FECA€seeks€to€restrict€theÏinfluence€of€corporate€monies€in€political€elections€in€order€toÏprotect€the€integrity€of€the€electoral€system.€€Since€the€debateÏregulations€instead€promote€corporate€involvement€in€politicalÏactivity,€they€are€not€a€reasonable€interpretation€of€the€FECA.Ìà ` àFinally,€Nader€responds€to€the€common€sense€observationÏthat€these€debate€regulations€have€been€in€place€for€more€thanÏtwenty€years,€that€they€have€governed€many€well„publicized€debates,Ïand€that€Congress€never€once€intimated€that€the€FEC€rules€wereÏcontrary€to€its€intention.€€Nader€says€that€this€"silence"€provesÏnothing:€€a€busy€Congress€cannot€be€expected€to€police€every€agencyÏaction;€indeed,€in€5€U.S.C.€ðð€801(g)€Congress€forbade€the€courts€toÏinfer€any€such€intent€from€its€silence.׃I×Ý ƒ#ÃÝòòÚ  Ú15Ú  ÚóóÝ  Ý×  ×Ð °  Ðà ` àThe€FEC€responds€that€Nader's€emphasis€on€the€narrownessÏof€the€exceptions€in€Section€441b(b)(2)(B)€and€SectionÏ431(9)(B)(ii)€is€misplaced:€the€debate€regulations€do€not€interpretÏthe€scope€of€these€exceptions,€the€FEC€contends;€rather,€theyÏâ âinterpret€what€types€of€corporate€disbursements€count€asÐ €%Ð * Ð"contributions€and€expenditures"€in€the€first€instance.׃J×Ý ƒ#ÃÝòòÚ  Ú16Ú  ÚóóÝ  Ý×  ×€€The€FECÐ ° Ðâ ârelies€on€asserted€ambiguities€in€Section€441b€as€well€as€SectionÏ431(9)€to€justify€its€policymaking€activity€with€regard€toÏcandidate€debates.€€The€general€language€of€those€sections,€the€FECÏcontends,€says€nothing€indicating€any€congressional€consideration,Ïmuch€less€a€clear€congressional€intent,€about€whether€(or€in€whatÏcircumstances)€sponsorship€of€candidate€debates€should€be€treatedÏas€a€"contribution"€or€"expenditure,"€which€the€FEC€claims€is€theÏ"precise€question€at€issue"€in€this€case.€Since€the€generalÏprovisions€leave€this€question€open,€the€FEC€argues€that€the€FECAÏeffectively€delegates€that€question€to€the€policymaking€authorityÏof€the€agency.€€Moreover,€the€FEC€suggests€that€its€construction€ofÏthe€statute€is€reasonable€in€three€additional€respects:€€first,€theÏnarrow€construction€of€the€prohibitory€language€of€the€Act€servesÏto€protect€First€Amendment€interests€otherwise€potentiallyÏimplicated€by€it;€second,€the€construction€of€the€Act€accords€withÏCongressional€intent€as€expressed€in€the€legislative€record;€andÏthird,€the€debate€regulations€serve€purposes€akin€to€those€servedÐ @" Ðby€the€existing€exceptions€to€the€statute's€prohibitions.€€Thus€theÏFEC€insists€that€the€debate€regulations€reflect€a€reasonableÏconstruction€of€the€FECA€that€is€due€òòChevronóó€deference.€€Finally,Ð Ð  Ðthe€FEC€also€points€to€the€fact€that€the€debate€regulations€wereÏsubmitted€to€Congress,€which€did€not€disapprove€them,€and€have€beenÏin€force€quite€publicly€for€twenty€years.Ìà ` àOur€analysis€under€òòChevronóó€begins€with€the€question€ofÐ `  Ðwhether€the€FECA€statutory€scheme€reveals€a€clear€congressionalÏintent€to€ban€the€particular€activity€of€corporate€sponsorship€ofÏthe€debates€as€permitted€under€the€regulations.€€We€conclude€thatÏseveral€aspects€of€the€statutory€scheme,€rather€than€indicating€aÏclear€congressional€intent€on€the€issue,€in€fact€foster€ambiguity.€ÏAs€a€primary€matter,€it€is€not€clear€on€the€face€of€the€definitionsÏof€"contribution"€and€"expenditure"€that€corporate€disbursements€toÏnonpartisan€debate€staging€organizations€even€fall€within€the€scopeÏof€the€Act's€coverage€in€the€first€instance.€€Section€441b€barsÏcorporate€contributions€or€expenditures€"in€connection€with€anyÏelection,"€2€U.S.C.€441b(a),€including€direct€or€indirect€corporateÏpayments€or€gifts€"to€any€candidate,€campaign€committee,€orÏpolitical€party€or€organization."€€òòId.óó€ðð€441b(b)(2).€€SectionÐ `"°& Ð431(9)€defines€"expenditures"€as€any€payments€made€"for€the€purposeÏof€influencing€any€election€for€Federal€office."€€òòId.óó€ððÐ €%Ð * àFinally,€although€our€conclusion€that€the€debateÏregulations€coincide€with€congressional€intent€would€be€the€same€inÏany€event,€we€note€that€this€view€is€consistent€with€Congress'sÏapparent€acquiescence€in€the€regulations€under€the€"report€andÏwait"€requirements€of€the€FECA.€€Nader's€reliance€on€the€admonitionÏagainst€inferring€any€intent€from€Congress's€silence€in€5€U.S.C.€ððÏ801(g)€is€inappropriate,€as€that€provision€is€limited€to€proposedÏrules€submitted€to€Congress€under€the€disapproval€mechanismÐ Ðregulations€are€in€accord€with€congressional€expectations€asÏexpressed€in€the€legislative€history€discussed€above.€€It€isÐ À+'2 Ðcertainly€within€the€purview€of€agency€discretion€to€accord€respectÏto€congressional€intent€as€reflected€in€the€legislative€record.€Ìà ` àFinally,€the€debate€regulations€are€not€inconsistent€withÏthe€definitions€of€"contribution"€and€"expenditure"€provided€byÏSection€441b.€€As€the€prohibition€contained€in€Section€441b€did€notÏspecifically€address€corporate€donations€to€nonpartisan€tax€exemptÏorganizations€but€rather€addressed€payments€"to€any€candidate,Ïcampaign€committee,€or€political€party€or€organization,"€theÏCommission€reasonably€determined€that€the€prohibition€need€notÏapply€to€corporate€disbursements€to€nonpartisan€tax€exemptÏorganizations€for€the€limited€purpose€of€staging€candidate€debates.€ÏThe€Commission's€determinations€that€the€prohibition€was€especiallyÏconcerned€with€"active€electioneering"€to€promote€a€particularÏcandidate€and€that€sponsoring€a€nonpartisan€debate€was€not€"activeÏelectioneering"€were€similarly€permissible.€€And€the€fact€that€theÏregulations€allow€corporate€contributions€to€candidate€debates€inÏorder€to€encourage€voter€participation€in€a€fashion€not€expresslyÏpermitted€by€the€statute€does€not€itself€invalidate€the€regulation.€Ï"Agencies€often€are€allowed€through€rulemaking€to€regulate€beyondÏthe€express€substantial€directives€of€the€statute,€so€long€as€theÏstatute€is€not€contradicted."€€òòCliftonóó,€114€F.3d€at€1312.€€Hence,Ð À Ðundertake€the€narrow€inquiry€into€whether€the€agency's€constructionÏis€sufficiently€reasonable€to€be€accepted€by€the€reviewing€court.Ìà ` Ðstanding€followsòòóó.€€However,€there€is€an€important€distinctionÐ °  Ðbetween€the€two€situations.€€òòVote€Choiceóó€did€not€grant€LeonardÐ @" Ðstanding€simply€because€of€the€benefits€given€to€her€publiclyÏfunded€opponents€under€Rhode€Island€campaign€finance€law.€€To€do€soÏwould€have€premised€standing€on€Leonard's€injury€as€a€politicalÏcompetitor;€that€is,€it€would€have€found€injury€due€to€theÏadditional€benefits€accrued€by€her€opponents.€€Such€a€theory€may€beÏviable€here,€and€I€discuss€it€below.€€òòVote€Choiceóó,€however,Ð  (ð#. €Ð  ÐAss'nóó,€479€U.S.€308,€403€(1987).€€€€Ð ` Ðà ` ` àIn€òòFulanióó€v.€òòBentsenóó,€Fulani€again€challenged€the€taxÐ à0 Ð1989).€€In€this€case,€the€benefit€has€perhaps€been€conferred€uponÏthe€sponsoring€corporations,€who€at€the€most€are€allowed€to€furtherÏtheir€political€viewpoint€by€sponsoring€a€two„person€debate,€and€atÏleast€are€given€additional€air„time€for€their€beer€and€pretzels.€ÏPerhaps€the€benefit€has€been€conferred€upon€CPD,€the€entity€whichÏreceives€the€allegedly€illegal€contributions.€€Nader€would€argueÏthat€Gore€and€Bush€receive€the€unlawful€benefit,€and€that€as€theirÏcompetitor€he€has€standing.€€However,€òòFulanióó€v.€òòBentsenóó€explicitlyÐ À Ðrefused€to€extend€the€competitive€standing€rule€to€encompass€thisÏremoved€level€of€competition.€€òòId.óó€at€54€("We€decline€to€extend€theÐ à0 Ðrule€of€òòCatholic€Conferenceóó€to€encompass€not€only€a€plaintiff'sÐ pÀ Ðcompetitors€in€a€defined€arena,€but€also€any€entity€that€providesÏa€tangential€benefit€to€those€competitors.").€€Nader€does€competeÏwith€Bush€and€Gore,€who€may€or€may€not€have€received€tangentialÏbenefits€from€corporate€sponsorship€of€the€debates;€however,€I€fearÏthat€expanding€competitor€standing€to€this€extent€gives€plaintiffsÏthe€ability€to€challenge€a€host€of€regulations€that,€whileÏundoubtedly€having€incidental€beneficial€effects€on€theirÏcompetitors,€are€not€traceable€to€a€concrete,€particularized€harm.€ÏòòSeeóó€òòCatholic€Conferenceóó,€885€F.2d€at€1028;€òòsee€alsoóó€òòGottlieb€v.Ð `  Ðtheory,€if€he€or€she€actually€faced€a€coerced€choice.€€If€Nader€hadÏreached€the€15%€mark,€been€invited€to€debate,€and€then€refused€toÏdo€so,€I€would€be€tempted€òòóóto€find€standing€here.€€Al€Gore€or€GeorgeÐ À ÐW.€Bush€could€potentially€have€challenged€the€regulations€as€well.€ÏFurthermore,€under€the€competitor€theory,€a€rival€debateÏorganization€or€a€potential€non„corporate€sponsor€that€could€notÏafford€the€CPD's€sponsorship€prices€might€have€successfullyÏdefended€their€standing€as€an€economic€competitor.€€In€any€event,Ïeven€in€the€majority's€refusal€to€read€òòVote€Choiceóó€as€implying€thatÐ
